And to create his own distribution network, office, man power and deal with local authorities independently.

My distributor my partner is a concept where the distributor owns the responsibility of entire Distt. And create the market and promote the brands. The Endeavour to appoint right partners who are desirous to accept challenges, responsibility and share huge profits.

DISTRIBUTOR OBLIGATIONS

1. Entrepreneur experience: He must be having at-least one year entrepreneur experience of successful running trading/ manufacturing/ C&F agency business and fully conversant with Indian commercial system. He must not have any sort of criminal background.

2. Financial strength: Being Distt. Distributor, he must be capable to provide initial business security which may vary from Distt. To Distt. Depending upon the size of the market and hold at least 10k cases of paid stock at any point of time & related duties payment etc. the security is refundable on cancellation of agreement. The stock shall be provided on 75% advance payment only.

3. Admin office: He must have at-lest 400sq.ft admin office to run the business smoothly. Such office shall be in good location and in good condition.

4. Minimum sales target: He must be capable to achieve minimum target fixed by the company. A minimum of 10k cases monthly.

5. Payment collection: He will be responsible to collect the payment from the market in favour of company and bank the same within 24 hour, cash payment is not allowed to collect.

6. Replenishment of stock: The Company will arrange to provide the new stock equal to the payment received from the market. However in case of increase in base stock 10k cases; he has to pay for such increased stock.

7. Manpower: He must have competent sales & commercial manpower to promote the brand in the market and constantly improve market share.

8. Local level marketing: He must organize local marketing like media management, spot marketing, launching and small event. However national level marketing & promotion shall be done by the company.

9. Agreement validity period: The agreement shall valid until terminated for misuse of license, creating bad name for the company or brand, under performance consistently for 6 months,. Wrong commitment in the market, payment accepted on behalf of the company and kept with him.

COMPANY OBLIGATIONS

1. Liquor license & Label: All state Govt. formalities like Excise, VAT registration permission approval of labels would be undertaken by company.

2. Uninterrupted supply: The Company shall arrange at all times.

3. Quality product: Quality is our culture; all products shall be supplied after stringent quality control process only.

4. Sale promotional support: The Company will arrange promotional items from time to time like Brand posters, Brochures, or other gift items and free holiday packages.

5. National level brand promotion: The company will organize national level marketing like digital media, print media, national level product launching, ad- files, photo shoot etc.

6. Manpower support: The company will arrange to provide one competent person to have effective communication, commercial and marketing support.

7. Distributor margin: As per the annexure attached.

GENERAL CONDITIONS

1. All the licenses and brands shall be solely owned by A-one Wineries.

2. All distributors shall have defined territory for fast execution and best results in the market.

3. The distributor shall have a good working office equipped with all communication facilities and computers for smooth working besides a office of minimum 400 sq ft. for efficient operations.

4. A-One Wineries shall dispatch the goods as per the targets and market demand at their expense upto C&F.

5. The distributor shall have full responsibility to take the brand and sales forward and shall have their own office and trained manpower to promote the brand and sales.

6. The distributor shall regularly furnish details of sales and stocks to A-One Wineries periodically.

7. The distributor shall make all efforts to expand and promote the brand for higher sales, however A-One Wineries shall provide branding and sales promotion material and undertake ATL & BTL activities from time to time.

8. A formal agreement to be executed before moving forward.
